A Few Things to Know Before You Invest

King Capital Group Investment Fund LLC is a private placement offering structured under SEC Rule 506(c) of Regulation D. Before you begin the investment process, there are a few important things every prospective investor should understand.

This is a private, illiquid investment

Unlike stocks or mutual funds, these promissory notes are not publicly traded. There is no secondary market for resale. Investors should be prepared to hold their notes for the long term and should not invest capital they may need in the near future.

This offering is for accredited investors only

All investors must meet the SEC definition of an accredited investor and provide documentation to verify their status before any subscription is accepted.

Principal withdrawal requires advance notice

Investors who wish to withdraw their principal must provide 18 months advance notice to the fund. Interest continues to accrue during this period.

There are no investor fees

There are zero subscription, acquisition, management, withdrawal, or penalty fees associated with this offering. The Manager is compensated solely through performance.

Do You Qualify as an Accredited Investor?

This offering is available exclusively to accredited investors as defined under SEC Rule 501(a) of Regulation D. You must meet at least one of the following criteria to be eligible.

Individual Net Worth

Your individual net worth, or joint net worth with your spouse, exceeds $1,000,000 at the time of investment. This calculation excludes the value of your primary residence but may include other real estate, cash, stocks, and personal property at fair market value less any secured debt.

Individual Income

You earned individual income exceeding $200,000 in each of the two most recent calendar years and reasonably expect to reach the same income level in the current year.

Joint Income

You and your spouse earned combined income exceeding $300,000 in each of the two most recent calendar years and reasonably expect to reach the same level in the current year.

Qualified Retirement Account

You are investing through an IRA, Keogh, or similar benefit plan where all investment decisions are made solely by accredited investors.

Entity Investors

You represent an entity in which all equity owners are accredited investors.

How to Invest: Step by Step

From first inquiry to your first interest payment, here is exactly how the investment process works at King Capital Group Investment Fund.
Step 01: Request the Offering Documents

Start by requesting the Private Placement Memorandum (PPM) and supporting documents. These materials give you a complete picture of the offering, the fund structure, the note classes, the risks involved, and the terms of your investment.

Step 02: Review and Do Your Due Diligence

Take the time to read the PPM thoroughly. We encourage you to share the documents with your attorney, accountant, or financial advisor. Ask questions. Understand the terms, the risks, and the structure before making any commitment.

Step 03: Complete Your Investor Qualification Questionnaire

Once you have reviewed the offering materials and are ready to proceed, complete the Investor Qualification Questionnaire. This document collects the information required to verify your accredited investor status, confirm your investment objectives, and assess suitability.

You will need to provide:

  • Personal identification and contact information
  • Documentation supporting your accredited investor status (income, net worth, or entity documentation)
  • Information about your investment experience and financial situation
Step 04: Select Your Note Class

Choose the note class that best fits your investment goals and capital availability.

Class A Notes pay 8% simple interest annually and require a minimum investment of $250,000.

Class B Notes pay 6% simple interest annually and require a minimum investment of $25,000.

Class C Notes are available at the Manager’s discretion based on the amount invested and agreed terms.

After purchasing a minimum of one unit, investors may purchase fractional units.

Step 05: Execute the Subscription Agreement

Complete and sign the Subscription Agreement (Exhibit B). This is the formal document through which you commit to purchasing your chosen notes. It includes customary representations and warranties from both the Company and the investor.

Note: The mailing address may change from time to time. Please send an email to confirm the current address before mailing any documents.

Step 06: Await Subscription Approval

Once your documents are submitted, the Compliance Department will review your Investor Qualification Questionnaire and Subscription Agreement to confirm completeness and verify your accredited investor status.

You may be contacted for a telephone interview as part of the review process. Additional documentation may be requested if needed.

Do not wire any funds until you have received written confirmation that your subscription has been accepted.

Step 07: Fund Your Investment

After your subscription has been formally accepted, you will receive wiring instructions. Transfer your investment funds to King Capital Group Investment Fund LLC via wire transfer or ACH.

Accepted funding sources include:

  • Personal funds (wire transfer or ACH)
  • Self-directed IRA
  • Self-directed 401(k)
  • SEP IRA or Keogh account

If you are investing through a self-directed retirement account, contact your custodian in advance to determine what additional forms or procedures they may require.

Step 08: Receive Your Promissory Note

Once your funds are received and your subscription is fully processed, the Company will issue your Promissory Note. This document formally confirms your investment, your note class, your interest rate, and the terms of your participation in the fund.

Interest begins accruing the day after your funds are received by the Company.

Step 09: Receive Semi-Annual Interest Payments

Sit back and earn. Accrued interest is distributed to all note investors twice per year:

Payments are made pro rata to note holders based on their invested principal and note class. The Company will issue an IRS Form 1099-INT for tax reporting purposes each year.

Use Your IRA or 401(k) to Invest

King Capital Group Investment Fund welcomes investments made through qualified retirement accounts including self-directed IRAs, 401(k)s, SEP IRAs, and Keogh plans. This can be a powerful way for investors to put tax-advantaged capital to work in real estate-backed notes.

Important things to know:

To invest using qualified funds, those funds must be held in a self-directed IRA or self-directed 401(k). Standard IRAs and 401(k)s through traditional custodians are typically not eligible without first converting to a self-directed structure.

We recommend speaking with a qualified retirement account professional or self-directed IRA custodian to explore your options and understand any additional requirements before proceeding.

If you elect to roll over your semi-annual interest payments rather than receive them as cash distributions, the Company will still issue an IRS Form 1099-INT for tax reporting purposes. All accrued interest will be reflected in your semi-annual statements and in the total note balance of your self-directed account.

Withdrawals, Rollovers, and Long-Term Planning

King Capital Group Investment Fund is designed as a long-term investment. Here is how your options work over the life of your notes.
Withdrawing Your Principal

Investors who wish to withdraw their principal may do so with 18 months advance written notice to the Manager. Notice must be submitted via email to Info@KCGIF.com.

During the 18-month notice period, your capital continues to earn interest as normal. The Manager may cash out your notes at any time within that 18-month window. Any delay beyond the 18-month period will trigger a higher interest rate beginning in the 19th month, as specified in your Promissory Note.

The advance notice period may be adjusted with reasonable prior notice if the real estate market slows significantly or the fund’s asset mix changes materially.

Rolling Over Your Interest Payments

Rather than receiving your semi-annual interest as a cash distribution, you may elect to roll it over and add it to your note principal. This compounds your returns over time and increases the base on which future interest is calculated.

Note: Even if you elect to roll over payments, the Company will still issue an IRS Form 1099-INT annually for tax purposes.

Early Redemption

The Company reserves the right to redeem an investor’s capital at any time. Any such redemption will be made with full accrued interest.

Documents Required to Invest

To complete your investment in King Capital Group Investment Fund, you will need to gather and submit the following documents. Having these ready in advance will make the process faster and smoother.

All Investors:

  • Completed Investor Qualification Questionnaire
  • Signed Subscription Agreement and Investment Letter
  • Accredited Investor Verification documentation (see options below)

Accredited Investor Verification Options (choose one):

  • Recent tax returns or W-2s confirming income of $200,000+ individually or $300,000+ jointly for the past two years
  • A letter from a licensed CPA, attorney, or registered investment advisor confirming accredited status
  • Recent brokerage or bank statements confirming net worth exceeding $1,000,000 (excluding primary residence)

If Investing Through a Representative or Advisor:

  • Investor Representative Questionnaire
  • Investor Representative Acknowledgement

If Investing as a Foreign Investor:

  • Additional form will be emailed to you upon request

If Investing Through a Self-Directed Retirement Account:

  • Contact your custodian in advance to confirm any additional forms they require from the Company
